how does FCX work?

Our FCX platform is a world-first, fully digitalised private market platform for companies to engage with their investors securely, transparently, and with fully automated capabilities. And when investments are made, and securities and funds exchanged, it’s done instantaneously via atomic settlement – one of the many advantages of using Distributed Ledger Technology (DLT) and tokenisation.

DISTRIBUTED LEDGER TECHNOLOGY

Our FCX platform is built on market-leading Distributed Ledger Technology (DLT) infrastructure, allowing us to operate a secure database in real time that any authorised user can access. In addition, DLT's smart contract capability means we can set up a contract or agreement with specific actions and automate them.

It's how we've made capital raising and capital management so much easier.

For example, when an investor purchases shares in a private company on the platform during a cap raising, the 'cash' in their wallet is represented by a token. This tokenised format of their funds sitting in their FCX wallet provides the company with full 'smart' information about the investor. This information is automatically loaded into the cap table when the deal is closed.

DLT also facilitates the immediate availability of funds. When an investor deposits money into our ANZ Trust Account, it's tokenised and appears in their wallet as cash. This tokenised format can be invested in capital-raising events across the FCX platform. When a deal is closed, the funds are transferred instantly, and companies can access these funds straight away.

Our FCX platform is a world-first because it allows private companies and investors to trade in real-time. Our atomic settlements process, where assets such as cash and share certificates are exchanged instantaneously, is possible because DLT facilitates seamless, transparent, and secure operations. The other technology component of how we operate is the tokenisation of assets.

TOKENISATION

When we use the term tokenisation on our FCX Platform, we are describing how real assets, such as cash and securities, are represented on the distributed ledger.

When an asset is tokenised, information about the asset is stored in the digital record. For example, who owns it, their details, and the asset's value are all attached to the token and provide an immutable record.

When cash is tokenised and appears in a digital FCX Wallet, it's the digital representation of money deposited into our ANZ Trust Account and allocated to an investor. The investor's details are attached to that token, and this information is used to update holding records when the money is invested in a company.

Securities are also tokenised and appear the same way when purchased, shifting from the company to the investor in token form on our FCX platform. Share certificates can be generated and stored on platform, and sdownloaded and printed in the same way a traditional broker would send physical share certificates through the mail.

Any asset or share class can be tokenised, and it's this digital format that allows us to operate in real-time using distributed ledger technology. All the asset tokens are clearly identified and easily transferred during our atomic settlements process, which makes assets available immediately after a deal closes.

We’re backed by our parent company FinClear, Australia’s leading independent technology and infrastructure provider for financial market access. FinClear is regulated by ASIC and the ASX, with two Australian Financial Service Licenses and as a General Clearing Participant of ASX Clear and ASX Settlement Participant. We use their established processes, technology, and expertise to verify every investor and ensure every transaction meets regulatory requirements.

Moving to a protected digital register increases security and removes risk for you and your investors, so we take it very seriously. We have more than a quarter century track record servicing Tier 1 banks. Fourteen of our screened, 73-person inhouse technologists team are dedicated to Security and Infrastructure. Initially, your register will need to be set up on the platform – this is when our full-service onboarding team will work with you to build your digital share registry. You can use this record to meet some ASIC requirements, so this work upfront is important and valuable and included in our service fees.

Once you've done the work to establish your deal room, you can open it to potential investors. Here, they'll have access to all the documents and information you'd normally be sending via email, Dropbox, or providing in person.

When you're ready to close the deal and conclude the cap-raising round, you and anyone with access to it can watch it close in real time.
