FAQs
FCX is designed for mid- to large-sized unlisted companies that want to improve governance, cap table management or run controlled transactions. It eases the burden of shareholder and document administration, compliance, audits and more. As a guide, if you’re a company with a market value of more than $10mm, or working capital of over $3mm, you may find that a secondary market event on FCX is appropriate and will meet your liquidity needs.
FCX tokenises assets using distributed ledger technology (DLT) for instant, direct and immutable transactions. See more on our Technology page.
FCX holds a first-of-its-kind Australian Market Licence (Tier 2) granted by ASIC, which:
- Authorises the holder to operate a licensed financial market in Australia, for unlisted companies and funds
- Is specifically designed for markets that operate on a non-continuous basis, meaning transactions are discrete, event-driven liquidity events
FCX also holds a Clearing and Settlement Facility Licence granted by the RBA which:
- Authorises the holder to operate a facility that clears and settles financial transactions in Australia
- Marks the first time in Australia that a licensed alternative to the ASX has existed for clearing and settlement, and it has been built specifically for the FCX private market
This makes FCX the first fully-regulated platform for facilitating private market secondary transactions.
See our Licences page for further information.
FCX is 100% owned by FinClear, Australia’s leading independent technology and infrastructure provider for financial markets.
No. FCX can work with registry providers to hold the register for the period of the transaction, update it and pass it back to the registry provider following the transaction.
FCX is Issuer-led, meaning companies set their own schedule for liquidity events. There is no mandatory timeframe or minimum frequency, the platform is built to adapt to each company’s circumstances and needs.
A primary capital raise is when a private company raises funds directly from investors in exchange for equity (shares). Traditionally, this has been a fragmented and manually intensive process, however FCX consolidates the entire process onto a single, regulated platform. From investor onboarding and documentation through to settlement – FCX reduces the friction and burden of completing a primary raise for both the company and its investors.
A tender market allows investors to purchase or sell equity through placing an order. On FCX, companies can set limits on the pricing, the timing, and who the eligible participants are. There are two main types of tender market:
1) Fixed-Price, where the price is set by the Issuer in advance
2) Multi-Price, where there are multiple discrete price tranches available, and the Issuer determines which price point is used for settlement.
An auction market is a live trading event for up to two days on platform. Issuers are able to set a price range in which participants can place their orders. FCX’s algorithm collects bids from buyers and offers from sellers, then calculates the price at which the greatest number of buy and sell orders can be matched. Settlement executes at that price, known as the ‘Trade Price’. To learn more, read the ‘How Auction Markets Work’ blog.
